These terms govern the Tokei affiliate program. They sit alongside our Terms and Conditions, which continue to apply to your own use of Tokei. Where the two conflict on a question about commission, attribution or payment, these terms apply.
Tokei is operated by Hyperstarter Limited, a company registered in England and Wales under company number 10931225, whose registered office is 167-169 Great Portland Street, 5th Floor, London, England, W1W 5PF.
The program is open to accounts with an active paid subscription or a lifetime plan. Trial accounts, seven-day access grants and lapsed subscriptions are not eligible.
Eligibility alone does not enrol you. Every application is reviewed and approved by hand, and we may decline an application without giving a reason.
When someone clicks your affiliate link we store an attribution for 30 days. If they create a new Tokei account inside that window, the referral is credited to you. The most recent affiliate link clicked is the one that counts.
Accounts that already existed when the link was clicked are never attributed, and an account can only ever be attributed once. You cannot refer yourself, and referrals sharing your email address or your payment method do not qualify.
You earn 40% of the amount invoiced to each referred customer, on every payment they make, for as long as they keep paying. Commission is calculated on the invoiced amount before any account credit is applied, and before payment processing fees.
A referral starts earning at its first successful payment of more than zero. Clicks, signups, trials and $0 invoices earn nothing. A referred account on a complimentary or comped plan pays nothing and therefore earns you nothing, however long it stays active.
If your own Tokei plan lapses, commission stops accruing. Anything already earned stays payable and can still be paid out. If you resubscribe, accrual resumes on your existing referrals with no need to reapply.
If you hold a lifetime plan, each referral earns for 24 months from that referral's first payment, and then stops.
All amounts are in US dollars.
Commission is held as pending for 7 days after the payment it relates to, then becomes available.
If a payment is refunded, reversed or charged back, the matching commission is reversed — including after it has cleared. A reversal can leave your balance negative, in which case it is recovered from future commission. We will not pursue you for a negative balance: it is written off if you close your account or if the account is dormant for twelve months.
If a referred customer cancels, you stop earning on them from that point. Commission already cleared remains yours.
While you have an active Tokei plan, available commission is applied to your own invoice as account credit before any cash payment. Credit is applied by hand on a weekly cycle, so it reaches your next invoice rather than the one you are currently on.
Once your available balance reaches $100.00 you can request a cash payout. A request is not an instruction to pay: we review it, approve it and then settle it manually.
Payment is made by PayPal to the email address on your Tokei account. We do not store a separate payment address, so it is your responsibility to keep a PayPal account that can receive payment at that address, or to agree an alternative with us by email before you request a payout. Any PayPal fee, currency conversion or receiving charge is yours.
Because payment follows your account email, changing that email changes where your money goes. Keep your account secure and tell us immediately if you believe it has been compromised.
Commission is a supply of services by you to Hyperstarter Limited. Rather than asking you to raise an invoice, we operate a self-billing agreement: we raise the invoice on your behalf and send you a copy.
By accepting the self-billing agreement you agree that:
You must tell us whether you are VAT registered, and give us your VAT number if you are. We cannot make any payment until that declaration is on file. Where you are UK VAT registered, VAT is added to the commission and shown on the self-billed invoice, with the sterling equivalent stated. Where you are established outside the UK, the reverse charge applies and no UK VAT is added.
You are responsible for your own tax on commission you receive. Nothing here is tax advice.
You may write about Tokei, review it, and share your link anywhere you have an audience. The following are not permitted:
If we believe any of these has happened, we may suspend your affiliate account. Suspension stops new commission and freezes your referrals; commission already cleared stays payable. We may withhold commission that we reasonably believe arose from prohibited promotion or from fraud.
We may change the commission rate or any other term of this program, or end the program entirely, on 30 days' written notice to the email address on your account. Changes apply from the end of that notice period onwards only. Commission that has already cleared remains payable, and we will pay out a cleared balance when a program ends even where it sits below the usual threshold.
You can leave the program at any time. Doing so stops future commission; a cleared balance stays payable.
Your affiliate dashboard shows how many people you referred and what you earned. It never shows the referred person's name, email address or account details, and you must not attempt to identify them. We handle personal data as described in our Privacy Policy.
